Tata Motors Confirms Effective Date for Restructuring

Tata Motors has set October 1, 2025 as the effective date for its long-anticipated demerger. The move will split the automaker into two listed companies. The National Company Law Tribunal has already concluded the final hearing, with the order now reserved. The process is expected to be completed within the second quarter of the 2025–26 financial year.

Commercial Vehicle Business to Operate as Separate Entity

The commercial vehicle operations, along with related investments, will shift to a new company called TML Commercial Vehicles Limited. Once the demerger takes effect, this entity will adopt the Tata Motors Ltd. name.

This is a defining moment for Tata Motors commercial vehicles. The division has been a backbone of the company’s legacy. Still, it reported a near 5 percent year-on-year drop in revenue to about ₹17,000 crore in the first quarter of this financial year. A standalone structure is expected to bring sharper focus, better strategy execution and a stronger push in both domestic and export markets.

What Shareholders Should Expect

Tata Motors confirmed a 1:1 share split for the demerger. Investors will receive one share of the new commercial vehicle entity for every one share held in the current Tata Motors stock. Both entities will trade separately on the BSE and NSE.

The record date will be announced later through an exchange filing and public notice. Once set, the stock will go ex-trade, with its price adjusting to reflect the split.

Strategic Rationale Behind the Move

The company says the separation will allow each business to operate with full independence. For the commercial vehicle arm, it means quicker decision-making, focused capital allocation and the freedom to respond rapidly to market changes.
